Introduction
Welcome to Invoice Mama. These Terms of Service ("Terms") govern your access to and use of our website, including any subdomains (collectively, the "Service"), operated by Invoice Mama. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. Your continued use of our Service constitutes your acceptance of these Terms and any amendments to them.

Age Restrictions
Our services are not intended for use by individuals under the age of 18 or the age of majority in the jurisdiction where they reside, whichever is higher. By using our Service, you represent and warrant that you are of legal age to form a binding contract with Invoice Mama and meet all of the foregoing eligibility requirements.
If you are using the Service on behalf of a company, organization, or other entity, then "you" includes you and that entity, and you represent and warrant that you are authorized to accept these Terms on that entity's behalf and that such entity agrees to be responsible to us if you or that entity violates these Terms.
Account Registration
Some features of our Service require you to register for an account. When you register, you must provide accurate and complete information and keep this information updated. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure.
You must notify us immediately of any breach of security or unauthorized use of your account. Invoice Mama will not be liable for any losses caused by any unauthorized use of your account.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.
Service Changes and Availability
Invoice Mama reserves the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice. We may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.
We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Invoice Mama and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Invoice Mama.
You acknowledge that all intellectual property rights, including without limitation, copyright, trademark, trade secret, and patent rights, in the Service and its content are owned by Invoice Mama or its suppliers. Neither these Terms nor your use of the Service transfers any right, title, or interest in the Service or its content to you.
User Content and License
Our Service allows you to create, upload, store, and share content, including invoices, logos, and business information ("User Content"). You retain all rights in, and are solely responsible for, the User Content you create, upload, or post to the Service.
By submitting User Content to the Service, you grant Invoice Mama a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing the Service to you. This license is solely for the purpose of enabling Invoice Mama to operate, promote, and improve our Service.
You represent and warrant that:
- You own the User Content that you submit to the Service or have the rights necessary to grant us the license described above.
- The User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person or entity.
- The User Content does not contain material that is false, intentionally misleading, or defamatory.
- The User Content does not violate any applicable law, regulation, or rule.
- The User Content does not contain material that is unlawful, obscene, defamatory, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense.
Prohibited Uses
You agree not to use the Service:
- In any way that violates any applicable federal, provincial, local, or international law or regulation.
- To impersonate or attempt to impersonate Invoice Mama, a Invoice Mama employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Invoice Mama or users of the Service or expose them to liability.
- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
- To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
We reserve the right to terminate your use of the Service for violating any of the prohibited uses without prior notice.
Free and Paid Services
Invoice Mama offers both free and paid services. The specific features and limitations of each service tier are described on our pricing page. We reserve the right to modify the features included in each tier at any time.
Free services are provided "as is" without any warranties, express or implied. We make no guarantees regarding the availability, reliability, or functionality of free services. We reserve the right to convert free services to paid services, or to limit or discontinue free services at any time without notice.
For paid services, billing terms and conditions will be specified during the purchase process. By purchasing a paid service, you agree to pay all fees due in accordance with the billing terms. Prices are subject to change upon notice. We reserve the right to suspend or terminate your access to paid services if payment is not received.
Lifetime Deals
Invoice Mama may offer "Lifetime Deals" which are one-time payment options for access to certain features of the Service. The following terms apply specifically to Lifetime Deals:
- Lifetime access refers to the lifetime of the specific plan or service that you purchase, not necessarily the lifetime of the Service itself.
- Lifetime updates and access only apply to the specific plan tier that was purchased. Upgrades to higher-tier plans or newly introduced premium features may require additional payment.
- We reserve the right to cancel, modify, or discontinue any Lifetime Deal offerings at any time without prior notice.
- We reserve the right to limit the number of Lifetime Deals available at our sole discretion.
- In the event that we discontinue the Service or specific features included in your Lifetime Deal, we are not obligated to provide refunds or compensation of any kind.
- The purchase of a Lifetime Deal does not entitle you to ownership rights or equity in our company or product.
- Should we decide to rebrand, restructure, or significantly modify our Service, your Lifetime Deal may be transferred to a comparable tier of the new service at our sole discretion.
By purchasing a Lifetime Deal, you acknowledge and accept that the Service may evolve, change, or potentially be discontinued in the future, and that such changes do not entitle you to a refund or continued service beyond what is commercially reasonable for us to provide.
Third-Party Links and Services
Our Service may contain links to third-party websites or services that are not owned or controlled by Invoice Mama. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that Invoice Mama shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
Disclaimer of Warranties
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Invoice Mama, its subsidiaries, affiliates, and its licensors do not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time or location.
- Any errors or defects in the Service will be corrected.
- The Service is free of viruses or other harmful components.
- The results of using the Service will meet your requirements.
- The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Invoice Mama, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service.
- Any conduct or content of any third party on the Service.
- Any content obtained from the Service.
- Unauthorized access, use, or alteration of your transmissions or content.
- Any other matter relating to the Service.
In no event shall our total liability to you for all claims exceed the amount you have paid, if any, to Invoice Mama for the Service during the twelve (12) month period prior to any cause of action arising.
This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Invoice Mama has been advised of the possibility of such damage.
Indemnification
You agree to defend, indemnify, and hold harmless Invoice Mama, its directors, employees, partners, agents, suppliers, and affiliates, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service.
- Your violation of any term of these Terms.
- Your violation of any third-party rights, including without limitation any copyright, property, or privacy rights.
- Any claim that your User Content caused damage to a third party.
This defense and indemnification obligation will survive these Terms and your use of the Service.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Canada and the Province of Ontario, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
Dispute Resolution
If you have any concern or dispute about our Service, you agree to first try to resolve the dispute informally by contacting us. If these efforts prove unsuccessful, you agree that any dispute, claim or controversy arising out of or relating to these Terms shall be settled by binding arbitration, rather than in court.
The arbitration shall be conducted in accordance with the arbitration laws of Ontario, Canada. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. By agreeing to these Terms, you and Invoice Mama waive the right to a jury trial and to participate in a class action lawsuit.
You remain free to bring your dispute in your local small claims court, if permitted by that small claims court's rules.
For users in regions with mandatory consumer protection laws that cannot be waived, the dispute resolution provisions above may not apply to you to the extent they conflict with your local laws.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
